Terms and Conditions of Use

Platform: Vrixaa Connect  ·  Operator: VrixaaLabs Private Limited  ·  Effective Date: 5 March 2026

Important: These Terms form a legal agreement between you and Vrixaa. By accessing or using Vrixaa Connect, you agree to these Terms.

1. Definitions

To make these Terms clear, the following words have the meanings below:

"Account"Your registered user account on Vrixaa Connect.
"Connect ID"Your unique global identity on the platform associated with your Account.
"User / you"Any person who accesses or uses the platform.
"Content"Any text, posts, images, videos, comments, reactions, messages, listings, profile information, links, files, cards, polls, votes, or other material created, uploaded, submitted, shared, displayed, or transmitted through the platform.
"User Content"Content created or submitted by a User.
"Entity"A community, organization page, club, department, group, business page, association, or similar unit that can be created on the platform and that may publish official content, run an entity marketplace, and operate entity spaces.
"Entity Admin"A User with administrative permissions over an Entity.
"Network"A verified institutional or community ecosystem workspace that can contain multiple Entities and enable community features such as a network feed, network chatrooms, networking features, and community modules.
"Network Admin"A User with administrative permissions over a Network.
"Owner"The designated primary administrator in an owner-based Network or the top-level administrator of an Entity.
"Admin-Collective Network"A Network configured without a single Owner where administrative power is shared among multiple Network Admins.
"Marketplace"Platform features that enable Entities or Users (where enabled) to list products or services for discovery.
"Services"The Vrixaa Connect platform, apps, websites, and all related features we provide.
"Policies"Documents we publish that apply to the Services, including Community Guidelines, Privacy Policy, Marketplace rules, or module-specific policies.

2. Acceptance of Terms

By downloading, accessing, registering, or using the Services, you:

  1. confirm you have read and understood these Terms,
  2. agree to be bound by these Terms and our Policies, and
  3. agree to comply with all applicable laws and regulations.

If you are using the Services on behalf of an Entity, institution, or other organisation, you confirm you have authority to bind that organisation to these Terms.

3. Eligibility and Age Requirements

3.1 Minimum age

You must be at least 13 years old to use Vrixaa Connect.

3.2 Users under 18

If you are under 18, you should use the Services with parental/guardian consent and supervision.

3.3 Prohibited access

You may not use the Services if:

  • you are legally prohibited from receiving services under applicable law,
  • you have been permanently banned by Vrixaa, or
  • your use would violate these Terms.

We may suspend or terminate Accounts that do not meet eligibility requirements.

4. Account Registration, Security, and Connect ID

4.1 Account creation

To access certain features you must create an Account. Each Account is tied to a Connect ID, which is your global identity across Entities, Networks, and modules.

4.2 Accurate information

You agree to provide accurate and up-to-date information during registration and as required for participation in Entities and Networks.

4.3 Account security

You are responsible for:

  • maintaining the confidentiality of your login credentials,
  • securing your device,
  • all activities that occur through your Account.

You must notify us promptly via the in-app contact mechanism if you suspect unauthorised access.

4.4 One person, one Account (anti-abuse)

You must not create multiple Accounts to evade enforcement, manipulate systems, or impersonate others.

4.5 Verification

Certain features may require verification (e.g., phone/email verification, network membership verification). Verification helps protect the community and reduce impersonation and abuse.

5. Real Identity, Impersonation, and Accurate Representation

5.1 Identity expectation

Vrixaa Connect is designed for trusted communities and institutional networking. You are expected to represent your identity accurately.

5.2 Prohibited conduct

You must not:

  • impersonate any person or organisation,
  • misrepresent affiliation with an institution, department, club, business, government body, or public figure,
  • create deceptive profiles or Entities meant to confuse others,
  • use names, logos, or branding in a way that suggests official endorsement or ownership when you are not authorised.

5.3 Verification requests

We may request reasonable verification to:

  • protect brand/institution integrity,
  • investigate abuse,
  • approve Network creation,
  • issue or maintain verification badges.

Failure to cooperate may result in restrictions.

6. Usernames, URLs, Names, and Trademark / Proprietary Protection

6.1 Rules for usernames and identifiers

Usernames, Entity names, Network names, and URLs must be respectful, lawful, and non-infringing. You must not select identifiers that:

  • infringe trademarks, copyrights, or other proprietary rights,
  • impersonate or mislead users regarding affiliation,
  • are used for fraudulent purposes,
  • contain hate speech, slurs, or illegal content.

6.2 Platform right to reclaim/modify identifiers

To protect users, institutions, and rights-holders, Vrixaa reserves the right (at its discretion) to:

  • rename or require renaming of Accounts, Entities, or Networks,
  • reclaim or reassign usernames and URLs,
  • disable or remove identifiers,
  • apply temporary holds to prevent misuse.

We may do this when identifiers infringe proprietary rights, create risk of confusion, are used for impersonation, or violate these Terms or Policies.

6.3 Reserved names

We may reserve certain names and identifiers (e.g., "admin", "support", "official", "system", "vrixaa" and similar variations).

6.4 Complaints

Rights-holders may submit complaints through our in-app contact mechanism. We may request supporting documentation and may take action including renaming, disabling, or removing the infringing identifier.

7. Platform Structure: Users, Entities, and Networks

Vrixaa Connect operates with distinct layers, each with different responsibilities.

7.1 Users

Users create Accounts and may post, message, join Entities, join Networks, and participate in modules.

7.2 Entities

Easier to create and may represent clubs, departments, groups, and businesses. Primarily publish entity-authored content and manage entity spaces.

7.3 Networks

Verified and paid workspaces created after identification and verification. Support high volumes of member-generated content via network feeds, community modules, and networking features.

8. Entities: Responsibilities and Rules

8.1 Entity content responsibility

Entities primarily publish and manage their own official content, which may include:

  • Entity page posts and announcements
  • Entity events
  • Entity jobs/opportunities
  • Entity marketplace listings
  • Entity chatrooms (where enabled)

Entity Admins are responsible for the content published under their Entity and for ensuring it is accurate, lawful, and not misleading.

8.2 Entity moderation expectation

Entity Admins must moderate:

  • Entity-owned content,
  • Entity chatroom participation (as per chatroom rules), and
  • interactions within entity spaces.

8.3 Data handling by Entities

Entities may receive limited user information from the platform by default (e.g., Connect ID, username, display name, and public profile information). If an Entity requests additional information from Users, the Entity is responsible for:

  • collecting it lawfully,
  • storing it securely,
  • using it only for legitimate Entity purposes,
  • complying with applicable privacy and data protection requirements.

Users are responsible for deciding what they share and with whom.

8.4 Prohibited Entity conduct

Entities must not:

  • post fraudulent jobs or misleading opportunities,
  • sell illegal or restricted goods,
  • harass or discriminate unlawfully,
  • misuse member data,
  • impersonate a real-world organisation without authorisation.

9. Networks: Responsibilities, Moderation, and Community Risk

Networks are community ecosystems with higher risk due to significant member-generated content.

9.1 Network content types

Networks may include:

  • A dedicated network feed for members
  • Networking features within the network
  • Member-generated modules (e.g., Lost & Found, Confessout, and similar community modules)
  • Network chatrooms
  • Network-level jobs and, in future versions, network-level events

9.2 Network admin responsibility

Network Admins are responsible for:

  • enforcing network rules and community guidelines,
  • moderating network feeds, modules, and network chatrooms,
  • responding to reports and maintaining community safety,
  • ensuring network participation policies are fair and lawful.

9.3 Network rules and enforceability

Networks may publish their own rules/guidelines. Enforcement may involve:

  • manual administrative actions (remove content, restrict users),
  • platform tools (where available),
  • referral to Vrixaa for escalation.

Network rules cannot override Vrixaa's Terms, Policies, or the law.

9.4 Verification and authenticity

Network creation and continued operation may require identity verification and institutional authenticity checks.

10. Network Governance Models

10.1 Owner-based networks

An owner-based Network has a designated Owner with primary authority. The Owner may appoint Network Admins and moderators.

10.2 Admin-collective (ownerless) networks

An Admin-Collective Network operates without a single owner, with shared governance among multiple Network Admins.

10.3 Administrator duty and misuse

Admins must exercise authority responsibly. Misuse may result in:

  • removal of admin privileges,
  • network restrictions,
  • network suspension or deletion.

Vrixaa may apply safety controls to prevent mass misuse (such as restrictions on bulk removals or sensitive actions).

11. User Content Ownership and Platform License

11.1 Ownership

Users retain ownership of their User Content, including posts in Network feeds.

11.2 License to operate the platform

By creating, uploading, posting, or sharing User Content, you grant Vrixaa a non-exclusive, worldwide, royalty-free, sublicensable (to service providers), and transferable license to:

  • host, store, cache,
  • reproduce (for technical processing),
  • display and perform,
  • distribute within the Services,
  • create technical modifications (e.g., resizing, compression, formatting),

solely for the purpose of operating, improving, and providing the Services.

11.3 Duration of license

This license continues until your User Content is deleted from the Services, except where:

  • content has been shared with others and they have retained it,
  • content must be retained for legal compliance, safety, audits, or dispute resolution,
  • backups and logs require reasonable time to clear.

11.4 Your responsibility

You represent and warrant that you have the rights necessary to post your Content and that it does not violate laws or third-party rights.

12. Prohibited Content and Conduct

You must not use the Services to create, post, transmit, or promote:

  • illegal content, criminal activity, or instructions for wrongdoing,
  • harassment, bullying, stalking, threats, or incitement of violence,
  • hate speech or discriminatory abuse,
  • sexually exploitative content involving minors,
  • spam, scams, phishing, deceptive schemes, or financial fraud,
  • malware, viruses, or attempts to compromise systems,
  • unauthorised sharing of personal data (doxxing),
  • intellectual property infringement,
  • content that violates any applicable law.

You must not:

  • manipulate platform systems (fake engagement, botting),
  • evade bans or restrictions,
  • interfere with other users' access,
  • scrape or harvest data without authorisation.

13. Messaging and Chatrooms

13.1 Separate chatroom rules

Chatrooms may have separate rules and configurations. Admins may restrict posting, enable announcement-only modes, set joining restrictions, and apply moderation actions.

13.2 No expectation of privacy

While we build privacy protections, you should assume that:

  • administrators may moderate content,
  • content may be reviewed upon reports,
  • legal requests may require disclosure.

13.3 Safety tools

Users may have access to safety tools such as reporting, blocking, muting, and leaving chatrooms.

14. Marketplace (Entity Marketplace and Network Marketplace)

14.1 Marketplace role of Vrixaa

Marketplace features are platform capabilities operated by Vrixaa. Listings are created by Entities and, where enabled, Users.

14.2 Entity Marketplace

Entities may list products and services relevant to that Entity. Entities are responsible for:

  • accuracy of listing information,
  • legality of products/services,
  • fulfillment, delivery, returns, and warranties (if any),
  • compliance with taxes and consumer laws.

14.3 Network Marketplace

Networks may display a marketplace directory that surfaces multiple business Entities.

  • Participation in Network Marketplace may require a paid subscription.
  • The subscription revenue belongs to Vrixaa.
  • Network Admins may enforce quality and safety standards and remove listings that violate platform rules.

14.4 Anti-abuse protection (malicious removal)

Networks must not maliciously or unfairly remove all sellers or discriminate in a way that violates platform rules or law. Vrixaa reserves the right to:

  • review marketplace removals,
  • reinstate listings where appropriate,
  • restrict network admin actions if misuse is detected.

14.5 Disclaimers

Vrixaa does not:

  • guarantee seller authenticity,
  • guarantee product quality or delivery,
  • act as a party to transactions between buyers and sellers,
  • provide warranties for third-party goods/services.

Disputes between buyers and sellers are primarily the responsibility of the seller and buyer.

15. Jobs, Opportunities, and Events

15.1 Entity-owned jobs and events

Entities may post jobs/opportunities/events. Entities are responsible for:

  • accuracy,
  • legitimacy,
  • compliance with applicable employment laws,
  • avoiding discriminatory or illegal listings.

15.2 Network-level jobs and future event posting

Networks may allow members to post jobs/opportunities and, in future versions, events. Network Admins must moderate these listings.

15.3 Disclaimers

Vrixaa does not guarantee:

  • legitimacy of any listing,
  • hiring outcomes,
  • compensation,
  • safety of external interactions.

Users should exercise caution and verify independently.

16. Payments and Paid Features (Manual in Early Versions)

16.1 Early-stage manual payments

In early versions, certain paid features may be enabled manually, and payments may be handled offline (e.g., invoicing, bank transfer, UPI, or other manual methods).

16.2 Future online payments

We may introduce payment gateways later. Terms may be updated at that time.

16.3 Pricing, taxes, and changes

Prices, fees, and billing terms may change. Where required, we will provide notice through the app.

16.4 Refunds

Unless a specific written refund commitment is provided for a paid feature, fees are generally non-refundable, except where required by law.

17. Moderation, Enforcement, and Platform Rights

17.1 Multi-layer moderation model

Moderation may be performed by:

  • Users (self-governance and reporting),
  • Entity Admins (entity spaces),
  • Network Admins (network community spaces),
  • Vrixaa (platform-level enforcement).

17.2 Our enforcement rights

We may (at our discretion):

  • remove or restrict Content,
  • limit visibility,
  • restrict features,
  • suspend or ban Accounts,
  • suspend or delete Entities or Networks,

to enforce these Terms, Policies, or legal requirements.

17.3 No obligation to monitor

We do not guarantee pre-screening of all Content. We may review content when reported, required by law, or for safety.

17.4 Appeals and review

We may provide an internal review process for enforcement decisions. Users can request review via the in-app contact mechanism. Not all decisions may be reversible.

18. Intermediary Status and Legal Compliance (India)

Vrixaa Connect functions as a technology platform enabling Users, Entities, and Networks to publish and exchange information. To the extent applicable, Vrixaa intends to operate as an intermediary in accordance with Indian law. Users agree that:

  • Users, Entities, and Networks are responsible for their Content,
  • Vrixaa may act on lawful requests, complaints, and reports,
  • Vrixaa may restrict or remove content to comply with legal obligations.

19. Suspension, Restrictions, and Termination

19.1 Types of actions

We may impose:

  • warnings,
  • temporary restrictions (feature limits),
  • temporary suspension,
  • permanent ban,
  • removal of admin privileges,
  • deletion of Entities/Networks.

19.2 Reasons

Actions may be taken due to:

  • violations of these Terms or Policies,
  • illegal content,
  • harassment or abuse,
  • fraud/scams,
  • impersonation,
  • repeated violations,
  • platform safety threats.

19.3 No circumvention

Attempting to bypass enforcement (e.g., creating new accounts after bans) may result in permanent bans.

20. Deletion, Removal, and Data Retention

20.1 Account deletion

If an Account is deleted or deactivated, access to Services ends. Some data may be retained for:

  • legal compliance,
  • fraud prevention,
  • safety and audit logs,
  • dispute resolution.

20.2 Network deletion

If a Network is deleted:

  • network-owned content (configuration, network-only modules, administrative structures) may be deleted,
  • community spaces and network module content may be removed,
  • content visibility inside that network ends.

User-owned posts within the network may also be removed where they are context-dependent on the deleted network environment.

20.3 Entity deletion

If an Entity is removed:

  • entity-owned pages, listings, and spaces may be removed,
  • any marketplace or jobs/events published by that Entity may be removed.

20.4 Backups

Backups may retain residual copies for a limited period for operational continuity.

21. Intellectual Property

21.1 Platform IP

The Services, including software, UI, branding, logos, and design are owned by Vrixaa or licensed to us.

21.2 Restrictions

You may not:

  • copy, modify, distribute, sell, or lease any part of the Services,
  • reverse engineer or attempt to extract source code,
  • use our branding without authorisation.

21.3 IP complaints

Rights-holders may submit complaints via the in-app contact mechanism. We may remove or restrict allegedly infringing content where appropriate.

22. Third-Party Services and Links

The platform may include links to third-party websites or services. We do not control third parties and are not responsible for their content, policies, or practices. Use of third-party services is at your own risk.

23. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law:

  • we do not guarantee uninterrupted or error-free operation,
  • we do not guarantee that content will always be available,
  • we do not guarantee outcomes from interactions, jobs, opportunities, or marketplace listings.

24. Limitation of Liability

To the maximum extent permitted by law, Vrixaa shall not be liable for:

  • user-generated content,
  • actions of Entities or Networks and their admins,
  • disputes between users,
  • marketplace transactions,
  • indirect, incidental, consequential, special, or punitive damages.

Where liability cannot be excluded, it will be limited to the maximum extent permitted by law.

25. Indemnity

You agree to indemnify and hold harmless Vrixaa, its directors, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:

  • your use of the Services,
  • your Content,
  • your violation of these Terms,
  • your violation of law or third-party rights,
  • disputes involving your Entity, Network, or marketplace listings.

26. Privacy

Our handling of personal data is described in our Privacy Policy. By using the Services, you consent to the collection, use, and processing of information as described in the Privacy Policy.

27. Grievance Redressal and Support (In-App Only)

27.1 In-app support channel

At this stage of the platform, all official support, reports, and grievances are handled through the in-app contact and reporting mechanisms.

27.2 What you can report

You can submit:

  • content reports,
  • harassment or abuse complaints,
  • impersonation and proprietary misuse complaints,
  • marketplace complaints,
  • admin abuse complaints,
  • requests for review of enforcement actions.

27.3 Review process

We review grievances within a reasonable timeframe and may request additional information.

28. Changes to the Services and Terms

We may modify the Services and these Terms over time. If we make material changes, we will provide notice through the app where feasible. Continued use after changes means you accept the updated Terms.

29. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Unless otherwise required by law, courts located in Guwahati, Assam, India will have jurisdiction over disputes arising from these Terms.

30. Miscellaneous Legal Provisions

30.1 Severability

If any provision of these Terms is found invalid, illegal, or unenforceable, it will be interpreted to most closely reflect the original intent, and the remaining provisions will remain in full force and effect.

30.2 No Waiver

If Vrixaa does not immediately enforce any provision of these Terms, this does not mean Vrixaa waives its right to enforce that provision or any other provision in the future.

30.3 Assignment

Users may not transfer or assign their rights or obligations under these Terms without prior written permission from Vrixaa. Vrixaa may assign or transfer these Terms as part of a merger, acquisition, restructuring, or sale of assets.

30.4 Force Majeure

Vrixaa will not be liable for delays or failure to perform obligations caused by events beyond its reasonable control, including natural disasters, internet outages, cyber incidents, government actions, infrastructure failures, or other unforeseeable events.

30.5 Entire Agreement

These Terms, together with any referenced policies (including Community Guidelines and Privacy Policy), constitute the entire agreement between you and Vrixaa regarding the use of the Services and supersede any prior agreements or understandings relating to the Services.

31. Contact, Support, Feedback, and Grievance Communication

Vrixaa Connect currently provides an in-app contact and communication tool that serves as the primary and official channel for interacting with the platform administration. You may use it for:

  • Submitting grievances or complaints
  • Requesting user support or technical assistance
  • Reporting policy violations or abusive behaviour
  • Reporting impersonation or intellectual property concerns
  • Submitting feedback, suggestions, or feature ideas
  • Raising concerns regarding entities, networks, administrators, or marketplace listings
  • Requesting review of moderation or enforcement decisions

All communications submitted through this tool are reviewed by the Vrixaa administration team. Users may be asked to provide additional details or verification information to assist with investigation or resolution.

At the current stage, Vrixaa Connect does not maintain a public support email address. Additional support channels (such as official support email addresses or external help portals) may be introduced in future versions.
